Terms of Service

1. Who we are

FairShare (“FairShare,” “we,” “us”) is operated by Wroot Labs LLC, a Texas limited liability company. The service is provided through the website at fairshare.church and any related subdomains.

By creating an account, downloading the free spreadsheet, or otherwise using FairShare, you agree to these Terms. If you do not agree, do not use the service.

2. What FairShare does

FairShare is a planning and reporting tool that helps churches understand how expense classifications on their year-end statistical filing affect their conference apportionment. The service offers three views of the same underlying rules engine: a Scenario tool, a Budget Planner, and a Year-End Review spreadsheet.

FairShare is descriptive, not prescriptive. We explain how classification rules work and show the resulting calculation. We do not recommend that you reclassify expenses to reduce your apportionment. The goal of the product is accurate reporting — paying your correct apportionment, neither more nor less.

3. Not legal, tax, or accounting advice

FairShare is software, not professional advice. The rules engine is built from published conference documentation and General Council on Finance and Administration (GCFA) guidance, but conferences update their rules and the software may lag those changes. Before filing any statistical report or making any financial commitment based on FairShare’s output, consult your conference treasurer, your denominational finance office, and a qualified accountant or attorney as appropriate.

4. No affiliation with the UMC or any conference

FairShare is an independent product of Wroot Labs LLC. We are not affiliated with, endorsed by, or sponsored by The United Methodist Church, the General Council on Finance and Administration, or any annual conference. References to specific conferences and their formulas are descriptive — they identify the rules our engine models, not partnerships.

5. Accounts

Some FairShare features require an account. You agree to provide accurate information, to keep your login credentials confidential, and to notify us promptly if you suspect unauthorized use. You are responsible for all activity under your account.

You must be at least 18 years old to create an account. FairShare is not directed to children under 13 and we do not knowingly collect personal information from children.

6. Subscriptions, billing, and refunds

FairShare paid tiers are sold as annual subscriptions. Pricing and the included features are listed at fairshare.church/#pricing.

Lemon Squeezy is our merchant of record. Lemon Squeezy (Lemon Squeezy LLC, a subsidiary of Stripe, Inc.) processes all payments, handles sales tax and VAT where applicable, issues invoices, and provides PCI-compliant payment handling. Their Terms of Service and Privacy Policy govern the payment transaction itself.

Refund policy. If you are not satisfied with a paid FairShare subscription, email hello@fairshare.church within 14 days of your initial purchase and we will issue a full refund. After 14 days, subscriptions are non-refundable but you may cancel auto-renewal at any time; cancellation takes effect at the end of the current annual term.

Subscription pricing may change. We will give you at least 30 days’ notice before any price change takes effect on your renewal.

7. Acceptable use

You agree not to:

  • Use FairShare to misrepresent your church’s finances or evade an apportionment your church owes under conference rules.
  • Reverse-engineer, scrape, or copy the rules engine, the underlying citations, or any part of the service for use in a competing product.
  • Resell, sublicense, or share access to your account with churches or users not covered by your subscription tier.
  • Attempt to disrupt, probe, or gain unauthorized access to the service.
  • Upload unlawful, infringing, or malicious content.

8. Your data

You retain ownership of any financial data you enter into FairShare. We process it to provide the service and we do not sell it, share it with conferences, or use it to train models. See our Privacy Policy for details on how data is stored and protected.

9. Intellectual property

FairShare, the FairShare wordmark, the rules engine, the website design, and all accompanying documentation are the property of Wroot Labs LLC. You receive a limited, non-exclusive, non-transferable license to use the service for your church’s internal planning and reporting during the term of your subscription (or, for the free spreadsheet, for your church’s internal use).

10. Service availability

We aim for high availability but we do not guarantee uninterrupted service. We may modify, suspend, or discontinue features with reasonable notice. Planned maintenance and unplanned outages are part of operating a software service.

11. Disclaimer of warranties

FairShare is provided “as is” and “as available.” To the maximum extent permitted by law, Wroot Labs LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be error-free or that the rules engine output will exactly match what your conference treasurer calculates.

12. Limitation of liability

To the maximum extent permitted by law, Wroot Labs LLC’s total liability under these Terms is limited to the amount you paid for FairShare in the twelve months before the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost revenue, lost data, or damages from a misstated apportionment.

13. Indemnification

You agree to indemnify and hold Wroot Labs LLC harmless from any claim arising out of your misuse of the service, your violation of these Terms, or your violation of any third-party right.

14. Termination

You may cancel your subscription at any time from your account settings or by emailing us. We may suspend or terminate your account if you violate these Terms or if we are required to do so by law. Sections 8 (Your data), 9 (Intellectual property), 11 (Warranties), 12 (Liability), 13 (Indemnification), and 16 (Governing law) survive termination.

15. Changes to these Terms

We may update these Terms. If a change is material, we will notify subscribers by email and post a notice on the site at least 14 days before the change takes effect. Continued use after the effective date constitutes acceptance.

16. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. The exclusive venue for any dispute is the state or federal courts located in Travis County, Texas.
